Sculpt Rx Telehealth Platform

1.Introduction and Acceptance of Terms

Mobile RN SCV, Inc., a California corporation, doing business as Sculpt Rx (“Sculpt Rx,” “Company,” “we,” “us,” or “our”), operates the Sculpt Rx website, telehealth platform, and related services (collectively, the “Services”). These Terms and Conditions (“Terms”) govern access to and use of the Services. By accessing or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2.Description of Services

Sculpt Rx provides non-emergency telehealth services to eligible individuals located in the State of California. The Services include virtual medical consultations, medical evaluations, and clinical oversight provided by California-licensed healthcare providers for weight-loss management, including the potential prescription of GLP-1 receptor agonist medications such as semaglutide or tirzepatide injections, when clinically appropriate.

Sculpt Rx does not guarantee that any individual will be approved for treatment or receive a prescription. All medical decisions, including whether to prescribe medication, are made solely at the professional discretion of the licensed healthcare provider in accordance with applicable laws and the standard of care.

The Services are not intended for emergency or urgent medical conditions. If you are experiencing a medical emergency, you should immediately call 911 or seek care at the nearest emergency facility.

3.Eligibility and Geographic Limitations

Use of the Services is limited to individuals who are at least eighteen (18) years of age, are residents of the State of California, and are physically located in California at the time telehealth services are provided. By using the Services, you represent and warrant that you meet all eligibility requirements and that all information you provide is accurate, current, and complete.

Sculpt Rx does not provide services to minors or to individuals located outside of California.

4.Telehealth Informed Consent

By accessing or using the Services, you voluntarily consent to receiving healthcare services through telehealth technologies. You acknowledge that telehealth involves the electronic transmission of medical information and may have limitations compared to in-person care, including the inability to perform a physical examination.

You understand that technical difficulties, data transmission failures, or system interruptions may occur, and that telehealth may not be appropriate for all medical conditions. A provider may determine, in their sole clinical judgment, that an in-person evaluation or alternative care is required.

You may withdraw your consent to telehealth services at any time; however, doing so may limit or terminate your ability to receive Services through Sculpt Rx.

5.Provider Discretion and No Guaranteed Provider-Patient Relationship

Accessing the Services or completing an intake form does not guarantee the formation of a provider-patient relationship. A provider-patient relationship is established only after a licensed healthcare provider reviews your information and affirmatively agrees to provide care.

Licensed providers retain full professional autonomy and discretion regarding diagnosis, treatment, prescribing decisions, and whether to accept or continue treating a patient. Sculpt Rx does not interfere with or control medical decision-making.

6.User Accounts and Responsibilities

To access certain Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify Sculpt Rx immediately of any unauthorized use or suspected security breach.

You agree to provide truthful, accurate, and complete information and to update such information as necessary. Providing false or misleading medical information may result in termination of Services and may pose serious health risks.

7.Prescriptions and Medication Use

Any prescription issued through Sculpt Rx is provided solely for the individual for whom it is prescribed and must be used strictly as directed. You agree not to misuse, share, sell, or otherwise divert any prescribed medication. Sculpt Rx may coordinate with licensed third-party pharmacies for prescription fulfillment.

Misuse or diversion of medications may result in immediate termination of Services and reporting to appropriate authorities as required by law.

8.Fees, Payments, Subscriptions, and Cancellations

You agree to pay all fees disclosed to you prior to receiving Services. Sculpt Rx may offer services on a subscription, month-to-month, or other payment basis as disclosed at the time of enrollment. Payments are processed through third-party payment processors.

Refunds, cancellations, and subscription terms are governed by the policies disclosed at checkout or in program-specific agreements. Failure to pay may result in suspension or termination of access to the Services.

9.Prohibited Conduct

You agree not to use the Services for any unlawful purpose, to interfere with the operation or security of the platform, to attempt to gain unauthorized access to systems or data, or to misuse the Services in a manner inconsistent with medical or legal standards. Sculpt Rx reserves the right to investigate and take appropriate action for violations of these Terms.

10.Medical and General Disclaimers

Sculpt Rx does not guarantee medical outcomes, weight loss results, or treatment success. Individual responses to treatment vary. GLP-1 medications may carry risks and side effects, which will be discussed with you by your provider.

The Services are not a substitute for in-person primary care or emergency medical treatment.

11.Intellectual Property

All content, software, trademarks, logos, and materials made available through the Services are the property of Sculpt Rx or its licensors and are protected by intellectual property laws. Unauthorized use is strictly prohibited.

12.Limitation of Liability

To the maximum extent permitted by law, Sculpt Rx shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Services. Sculpt Rx’s total liability shall not exceed the amount paid by you for Services during the twelve (12) months preceding the claim.

13.Indemnification

You agree to indemnify, defend, and hold harmless Sculpt Rx and its affiliates, officers, directors, employees, and providers from any claims, damages, liabilities, or expenses arising from your use of the Services, violation of these Terms, or provision of false or misleading information.

14.Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California. Any dispute arising from these Terms or the Services shall be resolved through binding arbitration, unless prohibited by law, with venue in California.

15.Termination and Modifications

Sculpt Rx may suspend or terminate access to the Services at any time for violations of these Terms, safety concerns, or legal or regulatory requirements. Sculpt Rx reserves the right to modify these Terms at any time, and continued use of the Services constitutes acceptance of any revisions.
